1. Acceptance of Terms

By accessing or using the Gamut Agent platform, API, or website (collectively, the "Service"), provided by Gamut Intelligence Lab ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users, including visitors, registered users, and organizations. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Gamut Agent is an AI-powered autonomous due diligence engine designed to aggregate, verify, and analyze public business information. The Service allows users to define investment theses, dispatch autonomous agents to retrieve data, and receive automated analysis.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. NO FINANCIAL ADVICE (Critical Disclaimer)

THE SERVICE IS FOR INFORMATIONAL AND RESEARCH PURPOSES ONLY.

No Fiduciary Duty: We are a software provider, not a financial advisor, broker-dealer, or investment manager.
No Recommendations: A "Strong Fit" or "Verdict" generated by our AI is a data-driven assessment based on your constraints. It is not a recommendation to buy, sell, or hold any security.
Human Verification Required: You acknowledge that AI systems, including our "Defense-in-Depth" architecture, can make errors. You agree to independently verify all data and insights before making any investment decisions. We are not liable for any financial losses resulting from reliance on the Service.

The Service is a research tool to assist in deal flow discovery. The human user is the decision-maker. The AI provides data-driven assessments, not investment advice.

4. Use of Autonomous Agents & Web Scraping

Our Service employs automated agents to access third-party websites on your behalf. By using the Service, you agree to the following:

Lawful Use: You will not use the Service to target websites where such access is strictly prohibited by law or to retrieve non-public personal data.
Rate Limiting: You agree not to attempt to bypass our internal rate limits or "Hallucination Firewalls," which are designed to respect the stability of target websites.
Third-Party Terms: You acknowledge that third-party websites have their own Terms of Service. Gamut Agent acts as a user-agent tool; you are responsible for ensuring your use of retrieved data complies with applicable laws and third-party rights.

5. Account Registration and Security

To use the Service, you must:

Be at least 18 years old
Provide accurate, current, and complete information during registration
Maintain and update your account information to keep it accurate
Maintain the security of your account credentials
Notify us immediately of any unauthorized access or security breach

You are responsible for all activities that occur under your account, whether authorized or not.

6. Intellectual Property

6.1. Our IP

The Company retains all rights, title, and interest in the Service, including our proprietary "Defense-in-Depth" architecture, "Hallucination Firewall," "Zero-Evidence Circuit Breaker," source code, and logic. You may not reverse engineer or copy our underlying technology.

Our proprietary technologies, including the Hallucination Firewall™, Zero-Evidence Circuit Breaker, and Constraint Verification Engine, are patent-pending and protected by intellectual property rights.

6.2. Your IP

You retain ownership of your specific Investment Theses, search queries, and the proprietary constraints you input into the "Memory Bank." We do not claim ownership of your investment strategy.

By using the Service, you grant us a license to process and analyze your data to provide the Service, but you retain all rights to your proprietary investment strategies and theses.

7. Service Credits & Billing

Value-Based Billing: Certain features consume "Credits." We strive to only deduct Credits when a Mission successfully retrieves data (i.e., we do not charge for "Ghosts" blocked by our Firewall). However, we reserve the right to modify the definition of a "billable event" at any time.
No Refunds: Service Credits are non-refundable, except as required by law or explicitly stated in a specific Service Level Agreement (SLA).
Subscription Plans: The Service may be provided on a subscription basis. By subscribing, you agree to pay all fees associated with your subscription plan and automatic renewal unless cancelled.

8. AI Limitations & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

We disclaim all warranties, express or implied. Specifically, we do not warrant that:

The results generated by the AI (including the Deep Dive Analyst) will be 100% accurate or free from "hallucinations."
The Service will meet your specific investment requirements.
Third-party data sources (e.g., scraping targets, enrichment APIs) will remain available or accurate.

While we employ multiple verification layers (including our Hallucination Firewall™ and Zero-Evidence Circuit Breaker), we cannot guarantee 100% accuracy. The Service is a tool to assist in deal flow discovery, not a substitute for human due diligence.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAMUT INTELLIGENCE LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

WE ARE NOT LIABLE FOR INVESTMENT DECISIONS MADE BASED ON INFORMATION FROM THE SERVICE OR ANY FINANCIAL LOSSES RESULTING FROM RELIANCE ON THE SERVICE.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Gamut Intelligence Lab, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Investment decisions made based on information from the Service

11. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms (e.g., using the Service for abusive scraping or illegal activities).

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though we will provide reasonable notice and opportunity to export your data when possible.

You may terminate your account at any time by contacting us or using account deletion features in the Service.

12. Data Export and Deletion

Upon termination or at your request, you may export your deal flow pipeline data in a machine-readable format. We will delete your personal information within 30 days of account deletion, subject to legal retention requirements.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this site. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
